B. H. Burke & Co., Inc. ("BHBCo") performs numerous services for insurance organizations and has done so for more than twenty years throughout the United States.  We have had assignments as well in Canada and Mexico.  Most of the organizations we have worked for over the years are independent agencies and brokerages, but we also advise banks, carriers, intermediaries, other financial institutions, and individuals wishing to buy, join, or invest in agencies.

Usually the combination takes the form of a merger or acquisition, but we also have experience with agency collectives (network and clusters) and joint ventures.

We value agencies for many different purposes--purchase and sale, ESOPs, agreements, tax support, litigation support, and planning.  We prepare both comprehensive and abbreviated reports; we do formal opinions and indications.  We also value books of business and related assets.

Planning
The most common theme in our many years of consulting is agency perpetuation.  We do this work for agencies in all stages of development, of all sizes, and for family and non-family situations.

We bring creativity and expertise in agency finance, taxes, incentive compensation, agreement structuring, and conflict resolution.

To get plans implemented, we work closely with agency principals, principals-to-be, lenders, lawyers, and accountants.

We have led and facilitated sessions for numerous agencies in which they got away, got focused, and got on track on such crucial subjects as growth, productivity, change of culture, the building of value, changes in management structure, and changes in ownership.

Compensation
We bring many years of experience from a variety of assignments in the critical area of sales and owner compensation.  We address cash compensation, such as salaries, commissions, bonus plans, and owner distributions; and non-cash items, such as book-of-business equity, stock bonuses, deferred compensation, phantom stock, stock options, and other creative ideas.

Special Services
for Banks
We assist banks with specific insurance-agency acquisitions, but we also advise them on the subject in general.  In doing so, we help them develop realistic expectations about cash flow, earnings, growth in value, and organic growth in the agency's customer base.  We also provide consulting assistance on agency-management structure, management compensation, and owner compensation.

Finally, we provide business-valuation services for planning, tax management, and SFAS 141 and 142 purposes. 


Special Services
for Carriers
We advise carriers about the strengths, weaknesses, and needs of the agencies that represent them, in particular, the factors that allow and encourage agency perpetuation.  We conduct seminars for agency principals.  And we advise carriers that wish to acquire or invest in agencies or that provide financing for acquisitions, perpetuation, and producer development.
